二 | （厉健律师专栏）　　案情回溯，2026年7月28日晚，海南华铁发布关于收到《行政处罚决定书》的公告。经查明，当事人存在以下违法事实： 2025 年3月3日，公司全资子公司海南华铁大黄蜂建筑机械设备有限公司 （以下简称华铁大黄蜂，系《算力服务协议》乙方）和杭州某公司（系《算力服务协议》甲方）签署《算力服务协议》，预计合同总金额36.9亿元。2025年3月 5 日，公司披露《关于子公司签署<算力服务协议>的公告》。

三 | 前述《算力服务协 议》约定计划提交验收时间为2025年4月底前。

四 | 华铁大黄蜂未按期交付，超出交付期限后，与协议对手方开展协商，双方两次签订《算力服务预交付计划变更 申请函》，对计划验收日期进行延期变更，华铁大黄蜂用印时间分别为2025年6月27日、8月29日。

五 | 前述事项属于《上市公司信息披露管理办法》（证监会 令第182号）第二十五条、《上市公司信息披露管理办法》（证监会令第226号） 第二十六条规定的应当及时披露的重大事件的重大进展或变化，但公司未及时披 露。2025年9月30日，公司披露《关于子公司终止<算力服务协议>的公告》。

六 | 　　浙江证监局决定：对海南华铁责令改正，给予警告，并处以300万元罚款；对相关责任人员给予警告，并各处以罚款。　　根据最高人民法院虚假陈述司法解释，上市公司等因证券虚假陈述行为导致投资者权益受损，投资者可以依法起诉索赔，索赔范围包括投资差额损失、佣金和印花税损失。　　“我们已代理多批股民提交起诉。”厉健律师表示，根据司法解释，暂定：在2025年3月5日至2025年9月30日期间买入海南华铁股票，并在2025年9月30日收盘还持有该股票的受损股民，可索赔。
